1. About these Terms

Welcome to Shadow Edge. Shadow Edge is a language-shadowing practice tool operated by Macrame, LLC, a Delaware limited liability company ("Macrame," "we," "us," or "our"). These Terms of Service (the "Terms") govern your access to and use of the Shadow Edge service, including the website at shadowedge.app, the iOS, Android, macOS, and Windows applications, the ShadowStudio Desktop companion application, the GoShadowing-branded marketing surfaces at goshadowing.com, and any related APIs (collectively, the "Service").

By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

If you are using the Service on behalf of another person or entity, you represent that you have the authority to bind that person or entity to these Terms, and "you" refers to both you individually and that person or entity.

Macrame also operates WordEdge (wordedge.app), a vocabulary and pronunciation practice app. WordEdge has its own Terms of Service and Privacy Policy; these Terms govern Shadow Edge only.

2. Who can use Shadow Edge

You may use the Service only if you can form a binding contract with Macrame and only in compliance with these Terms and all applicable laws.

  • You must be at least 13 years old to create an account. If you are between 13 and the age of majority in your jurisdiction, you may use the Service only with the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
  • The Service is not directed at children under 13, and we do not knowingly collect personal information from children under 13. If we learn that we have collected personal information from a child under 13, we will delete it. See our Privacy Policy.
  • You must not be barred from using the Service under applicable law, including U.S. export-control or sanctions law.
  • One human user per account. Account-sharing is prohibited (see §8 Acceptable Use).

3. Your account

To use most features of the Service you need an account. You agree to:

  • Provide accurate and current information at signup, and keep that information up to date.
  • Maintain the confidentiality of your sign-in credentials (password, OAuth tokens, recovery codes, passkeys).
  • Notify us promptly at support@goshadowing.com if you suspect unauthorized access to your account.
  • Not share your credentials with anyone, and not allow anyone else to use your account.

You are responsible for activity that occurs under your account, except to the extent that activity results from our breach of these Terms or our security obligations under applicable law.

Shadow Edge and WordEdge, both operated by Macrame, share a single account system — your Lingovea account. If you already created an account in one product, sign in to the other with the same email and credentials; you do not need to register separately. Your practice data in each product stays separate even though the account itself is shared.

We may require you to verify your email address, complete additional identity checks, or use multi-factor authentication. We may suspend access to features that are abused without verification.

4. What Shadow Edge does

Shadow Edge is a personal practice tool for language learners. The core practice loop:

  1. You bring or select a source — a YouTube, TED, TikTok, podcast, or other video or audio source, an MP3 you upload, or content from our curated library.
  2. The Service transcribes the source into sentence-level segments.
  3. You listen to one sentence and record yourself repeating it.
  4. The Service scores your pronunciation and surfaces specific phonemes to refine.

Your practice data is private to your account. Your recordings, your pronunciation scores, and any edits you make to a source's segments or title are accessible only to you. We do not stream, broadcast, share, sell, license, or republish your recordings or scores to anyone, ever.

Source material you import stays in your private library. It is never added to our curated library merely because you imported it; the only route is the opt-in, rights-verified process in §7.4 Curation of source material, which never includes your recordings or your scores.

The Service includes:

  • Curated library. A library of practice content licensed or otherwise cleared by Macrame, available to all users.
  • Private library. Your own imported sources and recordings, scoped to your account.
  • ShadowStudio Desktop. A companion desktop application that captures and prepares source material from your computer and syncs it to your Shadow Edge library.
  • Platform cookies. A user-controlled mechanism for fetching content that requires sign-in on the source platform. See help center and §9.

We may add, change, or remove features over time. Material changes that reduce a benefit you have paid for are addressed in §17 Changes to the Service and these Terms.

5. Your responsibility for content you import

You are solely responsible for ensuring you have the right to download and use any content you import into Shadow Edge. Do not import content you do not own, have a license to, or are not otherwise permitted to use under fair-use, fair-dealing, or your local law. Shadow Edge assumes no liability for any consequences resulting from infringing use of the platform.

Examples of content that is generally appropriate to import:

  • Content you have purchased and own a license to use personally (an audiobook you bought, a podcast you subscribe to, a course video you paid for).
  • Content licensed under terms that explicitly permit personal downloads (Creative Commons, public-domain works, content released for free educational use).
  • Content freely available on platforms whose Terms of Service permit personal downloads for personal, non-commercial use.

Examples of content you should not import:

  • Content you have not paid for and do not have a license to use.
  • Content from platforms whose Terms of Service prohibit downloading.
  • Content protected by digital rights management (DRM) where downloading would require circumventing that protection.
  • Content you intend to redistribute, share, broadcast, or otherwise make available beyond your personal practice.

Rights confirmation. When you upload a file to your private library — directly in Shadow Edge or from another application that sends files to your library — we may ask you to confirm that you have the right to use it. Each confirmation is a representation by you under §7 and this §5, and does not shift responsibility for the content to Macrame.

Whether a particular use of a particular piece of content is permitted under fair-use or fair-dealing doctrine in your jurisdiction is a fact-specific legal question that Shadow Edge is not qualified to answer for you. See /legal/dmca for the full copyright policy.

6. Plans and billing

6.1 Plans

Shadow Edge offers a Free plan, paid Silver, Gold, and Platinum monthly and annual subscriptions, and Gold and Platinum lifetime options. Current pricing, included features, and usage limits are listed at /plans. Prices are shown in U.S. dollars; regional pricing may be displayed at sign-up and is the price you pay.

The Service may impose limits on usage at each plan tier. Those limits are part of the plan and may be updated; material reductions to a paid plan you currently subscribe to are addressed in §17.

6.2 Free plan

The Free plan is available without a credit card and may be used indefinitely subject to the limits posted at /plans. We may, in our discretion, modify those limits, throttle usage that we reasonably determine is abusive, or require a paid plan for capacity beyond reasonable personal use.

6.3 Free trial

Eligible new accounts may start a 14-day free trial of a paid plan. A valid payment method is required to start the trial. You are not charged during the trial period.

The trial begins when you start it and runs for 14 days. Unless you cancel before the trial ends, your subscription automatically converts to a paid plan and the payment method on file is charged the then-current price for the plan you selected, renewing automatically thereafter as described in §6.4. You may cancel at any time during the trial from your account settings; if you cancel before it ends, you are not charged and your account moves to Free-tier limits.

The trial may be started only once per account and per person. We may decline a trial for accounts that have previously held a paid plan, accounts associated with prior trial abuse, or accounts whose signup data appears duplicated.

You may also subscribe to any paid plan directly without first using the trial.

6.4 Subscriptions and auto-renewal

Paid monthly and annual subscriptions renew automatically at the same plan and billing period until cancelled. Each renewal charges the payment method on file at the then-current price. We will notify you in advance of price changes that affect your next renewal as required under §17 and applicable law.

You may cancel a subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you keep your paid features until that date. We do not pro-rate cancellations of monthly or annual subscriptions, except where required by law.

Lifetime plans, where offered, are charged once and grant access for as long as the Service operates and these Terms remain in force. Lifetime plans are non-refundable (see §6.6), except where a refund is required by law.

6.5 Taxes

Prices listed do not include taxes unless stated. You are responsible for all applicable sales, use, value-added, and similar taxes, which we may collect and remit where required.

6.6 Refunds

Except as required by law:

  • Monthly subscriptions are not refundable.
  • Annual subscriptions are refundable on a pro-rata basis within 14 days of the initial purchase or annual renewal, less any usage exceeding Free-tier limits during that period. After 14 days, annual subscriptions are not refundable.
  • Lifetime plans are non-refundable.

Where a jurisdiction (including the EU and UK) grants a statutory right of withdrawal, that right applies in addition to (not instead of) the refund terms above. To exercise a statutory right of withdrawal, contact support@goshadowing.com.

If your account is terminated under §16 for material breach by you (including repeat-infringement strikes per /legal/dmca), no refund is owed for the unused portion of any plan, except where law requires otherwise. If we terminate or suspend your account for reasons not attributable to your breach, we will refund the unused portion of any pre-paid term on a pro-rata basis.

6.7 Payment processing

Payments are processed by third-party payment processors. By providing payment information, you authorize us and our processors to charge the payment method for amounts owed. Disputes about specific charges should be raised first at support@goshadowing.com; we will work in good faith to resolve them before any chargeback procedure.

Mobile-store purchases (Apple App Store, Google Play, Microsoft Store) are subject to the relevant store's billing terms in addition to these Terms; refunds for those purchases must be requested through the relevant store and are governed by the store's policies, except where applicable law requires otherwise.

7. Your content and your rights

"Your Content" means the audio, video, text, recordings, transcripts, scoring data, settings, and other data you import into, upload to, or generate within the Service.

You retain all rights you have in Your Content. We do not claim ownership of Your Content.

You grant Macrame a limited, non-exclusive, worldwide, royalty-free license to host, store, transcribe, transcode, segment, encrypt, transmit, score, and display Your Content solely as necessary to operate the Service for you and to perform the obligations these Terms describe. This license is limited in scope to the operation of the Service and ends when you delete the relevant Content from your account or close your account, except for backups retained for the periods described in the Privacy Policy.

We do not use Your Content to train machine-learning models, build advertising profiles, share with advertisers, or sell to third parties. We do not display your recordings or your pronunciation scores to any other user, ever.

Aggregated, de-identified data. We may compute aggregated, statistical metrics from usage of the Service (for example, the median scoring latency across all users in a region) for operational, security, and quality-improvement purposes. Aggregated metrics do not include Your Content and are not attributable to any individual user.

You represent and warrant that Your Content does not infringe any third-party right and that you have all rights necessary to grant the license above. See §5 for your responsibility for imported content.

7.4 Curation of source material

Our curated library is built from content Macrame has licensed or otherwise cleared for that purpose. Importing a source into Shadow Edge — whether by URL, by file upload, through ShadowStudio Desktop, or by any other means — does not grant Macrame any right to add that source to the curated library, and Macrame will not add imported source material to the curated library on the basis of your import alone.

What "source material" means in this section. Source material is the audio or video file the source originated from, plus the auto-generated transcript and segment timing produced by the Service, plus any edits you have made to those segments or to the source's title. Source material does not include your recordings, your pronunciation scores, or any other practice data. Your recordings and scores are never added to the curated library, never shown to other users, and never published.

Opt-in, rights-verified curation only. Macrame may add source material that you imported to the curated library only if both of the following are true:

  • You have given explicit consent. We will ask through the Service and by email to your registered address. If you do not accept within 14 days, the request expires and the source material will not be added. Silence is never consent.
  • Macrame has independently confirmed the right to redistribute it — for example, because the work is in the public domain, is released under a license that permits redistribution (such as a suitable Creative Commons license), or the rights-holder has given Macrame written permission. Your consent alone is not enough, because you may not hold the right to let others use the material.

Anonymization. Curated entries are published without your username, email, profile, or any other personal identifier.

Withdrawing consent. You may withdraw your consent at any time by contacting legal@macrame.io. If the entry has not yet been added, it will not be. If it has, Macrame will remove it from the curated library within 30 days, unless Macrame holds an independent right to keep it (for example, a license granted directly by the rights-holder), in which case it will remain without any connection to your account.

Takedown for cause. Macrame will take down a curated entry on receipt of a valid copyright takedown notice under §12 / /legal/dmca, on receipt of a credible report that the source material violates §8 Acceptable Use or applicable law, or where Macrame in its discretion determines the entry should be withdrawn for operational, legal, or quality reasons.

8. Acceptable Use

This section describes how you may and may not use Shadow Edge. By using Shadow Edge, you agree to follow these rules. Shadow Edge may suspend or terminate your account, with or without notice, if you violate them.

Prohibited content uses

You agree not to use Shadow Edge to:

  • Import, store, or practice with content you do not own, do not have a license to, and are not permitted to use under applicable law.
  • Redistribute, share, broadcast, sell, license, sub-license, or otherwise make available imported audio, video, transcripts, or scoring data to anyone other than yourself.
  • Use imported content for any commercial purpose, including but not limited to: training machine-learning models, building competing products, or generating content for resale.
  • Circumvent or attempt to circumvent any digital rights management (DRM) or other technical protection measures applied to content you wish to import.
  • Import content from any platform whose Terms of Service prohibit downloading.

Prohibited platform uses

You agree not to use Shadow Edge to:

  • Share your account credentials with any other person, or allow any other person to use your account.
  • Operate Shadow Edge on behalf of more than one human user from a single account.
  • Scrape, automate imports at a rate inconsistent with personal practice, reverse-engineer the API, or otherwise interact with Shadow Edge in any manner not contemplated by the user-facing applications.
  • Submit content that is unlawful, infringing, defamatory, harassing, or otherwise prohibited by law.
  • Use Shadow Edge to harm minors in any way.
  • Use Shadow Edge to attempt unauthorized access to any system, service, or account.

Platform cookies — special note

Uploading cookies for a third-party platform does not exempt your use of that platform's content from the platform's own Terms of Service. You are responsible for any account-level consequences imposed by the platform.

Note on curation

The prohibition on redistribution above governs your use of imported content. Macrame makes imported source material available to other users only under the opt-in, rights-verified process in §7.4 Curation of source material. Your recordings and pronunciation scores are never curated and remain private to your account.

Enforcement

Where Shadow Edge has reason to believe you have violated this section, Shadow Edge may, at its discretion: remove the offending content; warn you; temporarily suspend your account; terminate your account; or pursue legal remedies. The repeat-infringer procedure described at /legal/dmca applies to copyright-related violations of this section.

Questions about acceptable use: legal@macrame.io.

9. Third-party platforms and platform cookies

The Service interoperates with third-party platforms (YouTube, TED, TikTok, Bilibili, Spotify, Apple Podcasts, SoundCloud, Vimeo, and others). Macrame is not affiliated with, endorsed by, or sponsored by those platforms.

When you upload platform cookies to fetch content that requires sign-in on a third-party platform, you give Shadow Edge a session that lets it fetch content as if it were your signed-in browser. You remain the account holder on that platform. Use of those cookies on Shadow Edge is bound by the platform's Terms of Service in addition to these Terms. Specifically:

  • Your use of a platform's content remains subject to that platform's Terms.
  • Some platforms prohibit downloading; uploading cookies to Shadow Edge does not exempt you from those Terms.
  • Any account-level consequences (rate-limiting, suspension, termination) imposed by a platform on your account are between you and the platform. Shadow Edge is not a party to those Terms and cannot intervene.

If you are unsure whether a platform's Terms permit personal downloads, the conservative position is to assume they do not. See the help center and the canonical copyright policy at /legal/dmca.

10. Our intellectual property

The Service — including its software, models, the curated library, the ShadowStudio Desktop application, the GoShadowing brand, "Shadow Edge," "Macrame," our logos, and the look and feel of shadowedge.app, goshadowing.com, and our applications — is owned by Macrame, LLC or our licensors and is protected by copyright, trademark, and other laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for personal, non-commercial language-learning practice. We do not grant you any other rights. In particular, you may not:

  • Copy, modify, distribute, sell, or lease any part of the Service.
  • Reverse-engineer or attempt to extract source code, model weights, or scoring algorithms from the Service, except to the extent applicable law expressly permits.
  • Use any robot, scraper, or automated means to access the Service.
  • Remove or obscure any proprietary notices on the Service or any output the Service produces.

Curated-library content remains the property of its respective rights-holders or licensors and is provided to you under the limited license above for personal practice only. You may not download, redistribute, or use curated-library content outside the Service.

11. Feedback

If you send us suggestions, ideas, comments, or other feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use the Feedback for any purpose. We are not obligated to use any Feedback or to compensate you for it.

12. Copyright and DMCA

Shadow Edge respects copyright. Our full copyright policy — including how to file a takedown notice under 17 U.S.C. §512(c)(3), how to file a counter-notice, our designated agent's contact information, and our repeat-infringer policy — is at /legal/dmca and is incorporated into these Terms by reference.

The repeat-infringer policy operates a three-strike process (warning, suspension, termination) as described at /legal/dmca. Termination under that policy is governed by §16 of these Terms.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MACRAME DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

WITHOUT LIMITING THE FOREGOING, MACRAME DOES NOT WARRANT THAT (A) THE SERVICE WILL MEET YOUR REQUIREMENTS, (B) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, (C) PRONUNCIATION SCORES OR TRANSCRIPTS WILL BE ACCURATE OR FREE FROM ERROR, OR (D) ANY DEFECTS WILL BE CORRECTED.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the foregoing exclusions apply only to the extent permitted.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MACRAME, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT MACRAME HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MACRAME'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO MACRAME FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50.

Nothing in these Terms limits liability that cannot be limited under applicable law (for example, liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be excluded). In jurisdictions that do not allow the exclusion or limitation of incidental or consequential damages, the foregoing limitations apply to you only to the extent permitted by law.

15. Indemnification

You will defend, indemnify, and hold harmless Macrame, its affiliates, and their respective officers, directors, employees, and agents from and against any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service in violation of these Terms;
  • Your Content, including any claim that Your Content infringes a third party's intellectual property right or violates the rights of any person;
  • Your violation of any applicable law or any third-party platform's Terms of Service in connection with your use of the Service; or
  • Any breach by you of §5, §8, or §9.

Macrame will provide reasonable cooperation in your defense, at your expense, and reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with Macrame's defense.

16. Termination

16.1 Termination by you

You may close your account at any time from your account settings or by emailing support@goshadowing.com. Closing your account ends your right to use the Service. We retain and delete your account data per the Privacy Policy.

16.2 Termination or suspension by us

We may suspend or terminate your account, with or without notice, if:

  • You materially breach these Terms (including §5, §8, §9, or §10);
  • You are the subject of repeat-infringement strikes per the policy at /legal/dmca;
  • We are required to do so by law or a binding order;
  • We reasonably determine your use of the Service creates a security or operational risk to the Service or to other users; or
  • We discontinue the Service in your region (we will provide reasonable notice and a refund of unused pre-paid term as described in §6.6).

16.3 Effects of termination

On termination:

  • Your right to use the Service ends.
  • We will, on request, provide an export of Your Content within a reasonable period and subject to operational feasibility.
  • Sections that by their nature should survive (including §5, §7, §10–§15, §17, §18, and §16.3) survive termination.

17. Changes to the Service and these Terms

Changes to the Service. We may add, change, or remove features. Where a change materially reduces a benefit you have paid for under your current plan, we will provide at least 30 days' notice by email before the change takes effect, and you may cancel that plan and receive a pro-rata refund of the unused portion as described in §6.6.

Changes to these Terms. We may update these Terms from time to time. Material changes — including changes to the Acceptable Use section, dispute-resolution provisions, or refund terms — will be announced by email to registered users at least 30 days before they take effect, except where law requires earlier action. Non-material changes (typo fixes, clarifications, formatting) take effect on the date the Terms page is updated. Your continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms; if you do not agree, you must stop using the Service before that date.

The "Last updated" date at the top of this page reflects the most recent change. Prior versions are available on request at legal@macrame.io.

18. Disputes and governing law

Informal resolution first. If you have a dispute with Macrame arising out of or relating to the Service or these Terms, please contact us first at legal@macrame.io so we can try to resolve it informally. We will respond within 30 days of receipt and work in good faith for at least another 30 days before either of us commences a formal proceeding.

Governing law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, except where applicable consumer-protection law in your jurisdiction grants you mandatory rights that cannot be waived by contract — those rights apply in addition to these Terms.

Binding individual arbitration. Except for the carve-outs in this section, you and Macrame agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") that is not resolved through informal resolution above will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitrator, and not any federal, state, or local court or agency, has exclusive authority to resolve any Dispute, including the scope, enforceability, or formation of this arbitration agreement. The arbitration will be conducted in the English language. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. You and Macrame agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If this class-action waiver is found to be unenforceable, then the entirety of the binding-arbitration provision above will be null and void as to the affected Dispute, and that Dispute will instead proceed in court under the forum-selection clause below.

30-day opt-out. You may opt out of this arbitration agreement by sending written notice to legal@macrame.io with the subject line "Arbitration Opt-Out," including your name, the email address associated with your account, and a clear statement that you wish to opt out. To be effective, your opt-out notice must be received within 30 days of the date you first accept these Terms (or, if these Terms are materially amended to change the dispute-resolution provisions, within 30 days of the effective date of the amendment). Opting out has no effect on any other portion of these Terms and will not affect your access to the Service.

Arbitration fees. Filing, administrative, and arbitrator fees will be allocated under the AAA Consumer Arbitration Rules. To the extent the AAA's allocation would require you to pay any filing or administrative fee in excess of the equivalent filing fee for a comparable claim in the small-claims court for your county of residence, Macrame will pay the excess, unless the arbitrator determines that your claim is frivolous or brought for an improper purpose, in which case the AAA's standard allocation applies.

Small-claims carve-out. Notwithstanding the arbitration agreement above, either party may bring a qualifying claim in small-claims court for your county of residence (or any other forum permitted by that court's rules), where the claim qualifies under that court's jurisdictional limits and seeks only relief available in small-claims court.

Injunctive-relief carve-out. Either party may bring an action in court to seek temporary or preliminary injunctive relief to protect its intellectual-property rights pending the outcome of arbitration.

Forum for non-arbitrable claims. Any action or proceeding that is not subject to arbitration under this section (including under the small-claims and injunctive-relief carve-outs, or because the arbitration agreement is found unenforceable as to a particular Dispute) will be brought exclusively in the state or federal courts located in the State of Delaware, and you and Macrame consent to the personal jurisdiction of those courts. This clause does not deprive you of mandatory consumer-court protections in your country of residence where applicable law grants them.

Time limit. Any claim arising out of or relating to these Terms or the Service must be filed within one year after the cause of action arises, except where law requires a longer period.

19. International users and export controls

The Service is operated from the United States. If you access the Service from outside the United States, you do so on your own initiative and are responsible for compliance with local law to the extent local law applies.

You may not use the Service in violation of U.S. export-control or sanctions laws, including but not limited to the Export Administration Regulations and sanctions administered by the Office of Foreign Assets Control. You represent that you are not located in a country subject to a comprehensive U.S. embargo and are not on any U.S. government list of prohibited or restricted parties.

Where the Service is offered in the People's Republic of China, additional terms specific to that region may apply; see the regional footer at shadowedge.app/cn.

20. General

Entire agreement. These Terms, together with the Privacy Policy, the copyright policy at /legal/dmca, and any plan-specific or feature-specific terms presented to you in the Service, constitute the entire agreement between you and Macrame regarding the Service and supersede prior agreements on the same subject matter.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law, on notice to you.

No agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Macrame.

Notices. We may send notices to you by email to the address associated with your account or by posting them in the Service. You may send notices to us at legal@macrame.io or by mail to: Macrame, LLC, 14173 Northwest Fwy, Unit #2099, Houston, TX 77040.
